Terms of service

These terms govern your use of AdventureOS, provided by XEQT (Pty) Ltd, a company registered in South Africa.

Draft awaiting legal review. The wording below describes accurately how the service behaves, but it has not yet been settled by counsel and is not yet a binding agreement. It must be replaced with reviewed wording before the service is sold.

1. Who you are contracting with

AdventureOS is operated by XEQT (Pty) Ltd ("we", "us"), registered in South Africa. "You" means the business that holds the account, and anyone you authorise to use it.

2. What the service is

AdventureOS is hosted software for experience and activity operators. The product offered today is weekly staff pay-period calculation. A booking surface on your own domain and South African payment rails are coming for pilot; a day-of-operations manifest, partner commission calculation, and Phase 2 automation are not live today. We provide the software. You run your business.

3. Money, and who holds it

We never hold your customers' money. Your guests pay into merchant accounts you own and control, with your own payment providers. We read the confirmations those providers send and use them to determine what is billable. We are not a payment service provider and we do not act as merchant of record for your bookings.

4. What you pay us

3% of the value of each booking that is both paid and completed, capped at R165 (US$10) per booking, with no floor and no other charge. There is no subscription, no setup fee and no integration fee. Bookings in your first 14 days carry no fee.

Cancelled, refunded, no-show and weather-held bookings are not billed. Invoices are issued weekly in arrears with one line per billed booking, and exclude VAT where VAT applies.

Prices are configuration and may change. A change takes effect from a stated future date and never applies retrospectively to a period already invoiced.

5. Non-payment

If an invoice is not settled we will retry the charge and contact you. Continued non-payment leads to suspension of the account after the period stated in your billing settings. Suspension does not delete your data, and your data remains exportable.

6. Your data

Your operational and customer data is yours. We process it to run the service for you. Tenant data is isolated at the database level, and we do not sell it or use it to market to your customers. What we collect and why is set out in our privacy policy.

You can export your data at any time while the account is open, and for a defined period after it closes.

7. Acceptable use

Do not use the service to break the law, to send messages to people who have not consented to receive them, to interfere with the service's operation or security, or to resell it as your own product without a written agreement.

8. Availability

We work to keep the service available and to warn you before planned maintenance. We do not promise uninterrupted availability. An offline crew view is part of the booking stretch and is not live today.

9. Liability

Nothing in these terms excludes liability that cannot lawfully be excluded. Otherwise, our aggregate liability is limited to the fees you paid us in the twelve months before the claim arose, and neither side is liable for indirect or consequential loss.

10. Ending the agreement

You may close your account at any time. There is nothing to cancel in the sense of a subscription: if you stop taking bookings, you stop being billed. We may end the agreement for material breach, or for non-payment after the suspension period, on written notice.

11. Governing law

These terms are governed by the law of the Republic of South Africa, and the courts of South Africa have jurisdiction.
